Conditions"},"content":{"rendered":"\t\t<div data-elementor-type=\"wp-page\" data-elementor-id=\"3\" class=\"elementor elementor-3\">\n\t\t\t\t<div class=\"has_eae_slider elementor-element elementor-element-9210544 e-flex e-con-boxed e-con e-parent\" data-eae-slider=\"99686\" data-id=\"9210544\" data-element_type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-4616900 elementor-widget elementor-widget-text-editor\" data-id=\"4616900\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5><span style=\"color: #ffffff;\">1 Definitions and interpretation<\/span><\/h5><p>1.1 In these Conditions the following definitions apply:<\/p><p><span style=\"text-decoration: underline;\"><strong><br \/>Affiliate<\/strong><\/span> any entity that directly or indirectly Controls, is Controlled by or is under common Control with, another entity;<\/p><p><span style=\"text-decoration: underline;\"><strong>Business Day<\/strong><\/span> means a day other than a Friday, Saturday or public holiday;<\/p><p><span style=\"text-decoration: underline;\"><strong>Conditions<\/strong><\/span> the Supplier\u2019s terms and conditions of sale set out in this document;<\/p><p><span style=\"text-decoration: underline;\"><strong>Confidential <\/strong><strong>Information <\/strong><\/span>means any commercial, financial or technical information, information relating to the Deliverables, plans, know-how or trade secrets which is obviously confidential or has been identified as such, or which is developed by the Customer in performing its obligations under, or otherwise pursuant to these conditions;<\/p><p><span style=\"text-decoration: underline;\"><strong>Contract<\/strong><\/span> the Supplier\u2019s Quotation or the PO\/LOA\/Agreement or any other document mutually approved by both Parties for the sale and purchase of the Deliverables incorporating these Conditions;<\/p><p><span style=\"text-decoration: underline;\"><strong>Customer<\/strong> <\/span>the person who purchases the Deliverables from the Supplier as set out in the Contract;<\/p><p><strong><span style=\"text-decoration: underline;\">Deliverables<\/span><\/strong> the Goods or Services or both as the case may be;<\/p><p><span style=\"text-decoration: underline;\"><strong>Force Majeure<\/strong><\/span> an event or sequence of events beyond any party\u2019s reasonable control preventing or delaying it from performing its obligations under the Contract [including strikes or other industrial disputes involving the Supplier\u2019s or its suppliers\u2019 workforce, but excluding the Customer\u2019s inability to pay or circumstances resulting in the Customer\u2019s inability to pay];<\/p><p><span style=\"text-decoration: underline;\"><strong>Location<\/strong><\/span> the address of Goods\u2019 delivery &amp; Services\u2019 performance as set out in the Contract;<\/p><p><span style=\"text-decoration: underline;\"><strong>Specification<\/strong><\/span> the description\/specification of the Deliverables set out or referred to in the Contract;<\/p><p><span style=\"text-decoration: underline;\"><strong>Supplier<\/strong><\/span> means the Company issued the Quotation for the sale and purchase of the Deliverables;<\/p><p><span style=\"text-decoration: underline;\"><strong>Supplier Personnel<\/strong><\/span> all employees, officers, staff, other workers, agents and consultants of the Supplier, its Affiliates and any of their subcontractors who are engaged in relation to the sale and purchase of the Deliverables.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"has_eae_slider elementor-element elementor-element-f460504 e-flex e-con-boxed e-con e-parent\" data-eae-slider=\"92652\" data-id=\"f460504\" data-element_type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-546ffa1 elementor-widget elementor-widget-text-editor\" data-id=\"546ffa1\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1.2 In these Conditions, unless the context otherwise requires:<br \/>1.2.1 a reference to the Contract includes these Conditions, and their respective schedules, appendices and annexes (if any);<br \/>1.2.2 any clause, schedule or other headings in these Conditions are included for convenience only and shall have no effect on the interpretation of these Conditions;<br \/>1.2.3 a reference to a \u2018party\u2019 means either the Supplier or the Customer and includes that party\u2019s personal representatives, successors and permitted assigns;<br \/>1.2.4 a reference to a \u2018person\u2019 includes a natural person, corporate or unincorporated body (in each case whether or not having separate legal personality) and that person\u2019s personal representatives, successors and permitted assigns;<br \/>1.2.5 a reference to a \u2019company\u2019 includes any company, corporation or other body corporate, wherever and however incorporated or established;<br \/>1.2.6 a reference to a gender includes each other gender;<br \/>1.2.7 words in the singular include the plural and vice versa;<br \/>1.2.8 any words that follow &#8216;include&#8217;, &#8216;includes&#8217;, &#8216;including&#8217;, \u2018in particular\u2019 or any similar words and expressions shall be construed as illustrative only and shall not limit the sense of any word, phrase, term, definition or description preceding those words;<br \/>1.2.9 a reference to \u2018writing\u2019 or \u2018written\u2019 includes any method of reproducing words in a legible form (including email);<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"has_eae_slider elementor-element elementor-element-d318805 e-flex e-con-boxed e-con e-parent\" data-eae-slider=\"33800\" data-id=\"d318805\" data-element_type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-919fcfe elementor-widget elementor-widget-text-editor\" data-id=\"919fcfe\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5><span style=\"color: #ffffff;\">2 Application of these Conditions<\/span><\/h5><p>2.1 These Conditions apply to and form part of the Contract between the Supplier and the Customer. They supersede any other terms and conditions endorsed on, delivered with, or contained in the Customer&#8217;s purchase conditions, order, confirmation of order, specification or other document except to the extent that the Supplier otherwise agrees in writing.<br \/><br \/>2.2 No variation of these Conditions or to the Contract, shall be binding unless expressly agreed in writing and executed by both Parties.<br \/><br \/>2.3 The Supplier may accept or reject an Order at its discretion. An Order shall has no binding obligation to supply any Deliverables, until the later of:<br \/>2.3.1 Supplier\u2019s written acceptance of the Order; or<br \/>2.3.2 Supplier\u2019s receiving the Approved Material Submittals, the Down Payment and\/or the L\/C.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"has_eae_slider elementor-element elementor-element-517d77d e-flex e-con-boxed e-con e-parent\" data-eae-slider=\"7324\" data-id=\"517d77d\" data-element_type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-cd9e3ee elementor-widget elementor-widget-text-editor\" data-id=\"cd9e3ee\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5><span style=\"color: #ffffff;\">3 Price<\/span><\/h5><p>3.1 The price for the Deliverables shall be as set out in Supplier\u2019s Quotation. The Prices are exclusive<br \/>of VAT.<\/p><p><br \/>3.2 The Customer shall pay any applicable VAT to the Supplier on receipt of a valid VAT invoice<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"has_eae_slider elementor-element elementor-element-e95dd0f e-flex e-con-boxed e-con e-parent\" data-eae-slider=\"36108\" data-id=\"e95dd0f\" data-element_type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-1efcae2 elementor-widget elementor-widget-text-editor\" data-id=\"1efcae2\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5><span style=\"color: #ffffff;\">4 Payment<\/span><\/h5><p>4.1 The Supplier shall invoice the Customer for the Deliverables as per the Payment Terms agreed on in the Contract.<br \/><br \/>4.2 The Customer shall pay all invoices:<br \/>4.2.1 in full without deduction or set-off, in cleared funds within 10 days of the date of each invoice; and<br \/>4.2.2 to the bank account nominated by the Supplier.<br \/><br \/>4.3 Time of payment is of the essence.
